General Terms of Use

Preamble

These Terms of Use (TOU) apply to any Internet user browsing the Site (hereinafter referred to as the "User").

It is recalled that the Site is a merchant Site, and that the features related to the commercial section are reserved for any legal entity holding a customer account with Synchro Diffusion. The commercial section of the Site is governed by the Terms of Sale.

Use of the Site implies the unconditional acceptance of these TOU by the User.

Use of the Site is defined as any operation performed by the User upon accessing the Site, including simple browsing. These conditions may be subject to modification. Therefore, it is understood that the applicable conditions are those in force on the Site at the time of its use. Any contrary condition and/or provision not accepted by Synchro Diffusion is unenforceable against it. The fact that Synchro Diffusion does not invoke any provision of these TOU does not equate to a waiver of its right to invoke it subsequently.

In the event of non-compliance with the terms of these TOU, Synchro Diffusion reserves the right to take any measure necessary to protect its interests, including ensuring their enforcement.


Article 1 - Presentation of the Site

The Site offers the User the following Services:

  • Discovering the items and services offered by Synchro Diffusion;
  • Contacting the Synchro Diffusion customer service department to ask questions via chat or email;
  • Requesting quotes or making purchases according to the procedures provided for by the Site's General Terms and Conditions of Sale;
  • Posting reviews on items sold by Synchro Diffusion and viewing existing reviews.

The list of features is provided for information purposes only. The Site reserves the right to add or remove them, temporarily or permanently, without the User's agreement.

To access the Site and use the Services offered, the User must have an Internet connection and a compatible device such as a computer, smartphone, or tablet.

The User acknowledges having verified that their equipment and Internet connection comply with the necessary technical requirements, are free of viruses, and are in good working order before using the Services. It is also their responsibility to protect their data and software against potential viral infections originating from the Internet. The equipment necessary for accessing and using the Site and Services (computers, tablets, software, telecommunication means, etc.) as well as the associated telecommunication costs are at the User's sole expense, and they assume full responsibility for them.

Article 2 - Intellectual Property Rights of the Site

Synchro Diffusion, and the third parties that have authorized it, are the exclusive owners of all intellectual property rights attached to the graphic elements, images, photographs, videos, texts, sound sequences (animated or not) presented on the Site, as well as the title, design, form of the Site, its content such as comments and customer reviews, editorials and their organization, as well as any compilation of software, fundamental source code, software (including applets) constituting and/or represented on the Site, name, logos, brands of the Site, graphic charters, product and service names, domain names, downloadable documents, photographic representations, and all related distinctive signs as well as all content present on the Site (hereinafter referred to as "Content"), worldwide.

For the Site and its Content, Synchro Diffusion grants the User a non-exclusive, revocable, non-sublicensable license valid only for simple access, browsing, and personal use related to the Site. This license grants the User no other rights, in particular no right to commercial exploitation of the Site and its Content, particularly Content downloadable from the Site.

The User of the Site is prohibited, without the prior express written authorization of Synchro Diffusion, from collecting, representing, using, broadcasting, distributing, disclosing, transcribing, translating, or modifying, directly or indirectly, all or part of the Content, regardless of the medium or process used, including any use of automatic devices such as robots or software, without this list being exhaustive. The same applies to newsletters. Finally, they are prohibited from using any Content present on the Site to train or develop any software incorporating artificial intelligence.

In this capacity, Synchro Diffusion remains free to implement such protection measures as it deems necessary to enforce these prohibitions against Users, such as any technical blocking measure.

Any transfer of any element of the Site to another site or to any other medium (paper, digital medium, film, etc.) is prohibited without prior express authorization from the publication manager.

Any violation of the provisions of this article engages the civil and criminal liability of its perpetrator.

The products offered comply with the current French legislation. Photos are provided for illustrative purposes. We invite Users to refer to the product sheet (description) of each product for its precise characteristics; in case of doubt or if the User wishes additional information, they may contact Customer Service.


Article 3 - User Responsibility

Consultation and use of the Site are under the responsibility of the User.
Use of the Site by the User implies knowledge and acceptance of the characteristics and limits of technologies inherent to the Internet, particularly regarding response times for consulting or querying the server hosting the Site, technical performance, risks of interruption, and, more generally, any risk incurred during data transmission.

Consequently, Synchro Diffusion cannot under any circumstances be held liable, in particular, for any network malfunction preventing the proper functioning of the Site, loss of any data, consequences of any computer virus, bug, anomaly, or failure, or any damage caused to the User's computer. Synchro Diffusion is held only to an obligation of means regarding the provision of the Site and its Services.

Synchro Diffusion cannot be held liable for any direct or indirect damage that may result from errors, omissions, or delays in the transmission of information on the Site.

For the proper management of the Site, Synchro Diffusion may at any time:

  • Suspend, interrupt, or limit access to all or part of the Site, or reserve access to the Site, or to certain parts of the Site, to a specific category of Internet user;
  • Temporarily suspend access to the Site for technical reasons, in particular for maintenance purposes;
  • Delete any information that may disrupt its operation or that contravenes national or international laws, or the rules of Netiquette.

The User accepts these interruptions, suspensions, or deletions and waives any claim on this subject.
By using the Site, the User is liable for any damage caused, under common law conditions, in breach of these TOU.

The Content present and made accessible from the Site complies with the current French legislation. Synchro Diffusion cannot be held liable in the event of non-compliance with the legislation of the User's country of connection.

Finally, the User agrees not to make illegal use of the Site or use it in a way that is contrary to public decency.

Article 4 - Hypertext Links

Any creation of links to the Site and, in general, any use of an element comprising the Site is strictly prohibited without the prior written authorization of Synchro Diffusion.

Synchro Diffusion is free to refuse this authorization without having to justify its decision in any way. In the event that Synchro Diffusion grants its authorization, this is in any case only temporary and may be revoked at any time without any obligation of justification. In all cases, any link must be removed upon simple request.

Finally, the Site may host links to third-party sites not developed by Synchro Diffusion. The User acknowledges that Synchro Diffusion has no control over the content of these third-party sites and disclaims all liability regarding their content and availability. Access to these third-party sites is the sole responsibility of the User and in no way constitutes an endorsement of these sites or their content.

Article 5 - Access to Services

Access to certain services offered by the Site may be conditional upon the creation of an account (hereinafter the "Account") requiring the communication, by the User, of information allowing their identification. The User agrees to transmit accurate and complete data regarding their identity and is prohibited from impersonating a third party. In the contrary case, the Site reserves the right not to confirm, to suspend, or to delete the account.

The User agrees to keep the username and password they entered when creating the Account, which allow access to it, confidential. In the event of theft of their username and/or password, the User agrees to notify Synchro Diffusion as soon as possible. Synchro Diffusion will not be responsible for any use of the Account, whether by the customer or a third party.

NORAUTO allows the User to create an Account and then log in to the existing Account either by using an email address and a password meeting the security level required by NORAUTO, or by linking their Account to the User's personal social network account, which then allows the User to log in to their NORAUTO Account using the corresponding social network button on the Site.

Article 6 - Applicable Laws and Competent Jurisdiction

These TOU are subject to French law. In the event of a dispute, the French courts will have exclusive jurisdiction.

In the event of a dispute arising regarding the interpretation, execution, or termination of these TOU, Synchro Diffusion and the User will endeavor to settle it amicably.

Article 7 - Severability and Entirety

In the event that any provision of these TOU is deemed unenforceable under current law, or following a final administrative or judicial decision, the other stipulations will retain their force and scope.

SYNCHRO DIFFUSION will use its best efforts to replace it as soon as possible with a valid stipulation that has the closest possible effect to the spirit of these terms.

The fact that the User or Synchro Diffusion does not invoke the application of a clause of these TOU cannot be considered a waiver of said clause.

Article 8 - Modification of the TOU

Synchro Diffusion reserves the possibility at any time to adapt or modify these TOU. The new general terms will, where applicable, be brought to the User's attention via online modification.
